These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and PerfectLeads, Inc. (“PerfectLeads,” “we,” “us,” or “our”) governing your access to and use of the PerfectLeads platform, website (perfectleads.com), and related services (collectively, the “Service”). By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration
1.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service. If you are registering on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” shall refer to that entity.
1.2 Account Creation
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@perfectleads.com if you suspect unauthorized access to your account.
1.3 Account Security
PerfectLeads is not liable for any loss or damage arising from your failure to safeguard your account credentials. We recommend enabling two-factor authentication (2FA) where available and using a strong, unique password.
1.4 One Account Per Business
Each subscription is intended for use by a single business entity. You may add authorized users within your organization to your account, subject to the user limits of your plan. You may not resell, sublicense, or share your account access with unaffiliated third parties without our prior written consent.
2. Description of the Service
PerfectLeads is a software-as-a-service (SaaS) platform that provides lead generation, customer relationship management (CRM), marketing automation, and business growth tools for service-based businesses. The Service may include, but is not limited to:
Landing page and funnel builders. Contact management and CRM pipeline tools. SMS and email marketing automation. Online appointment booking and scheduling. Reputation and review management. Reporting and analytics dashboards. Advertising campaign management (on applicable plans). Templates, scripts, and pre-built workflows.
The specific features available to you depend on the subscription plan you select. PerfectLeads reserves the right to modify, add, or discontinue features at any time, with reasonable notice for material changes.
3. Subscription Plans and Pricing
3.1 Available Plans
PerfectLeads offers multiple subscription tiers, each with different features, usage limits, and pricing. Current plans and pricing are available on our pricing page. Plan details, including included features and usage limits (such as number of contacts, SMS/email sends, funnel pages, and users), are described on the pricing page and in your account dashboard.
3.2 Setup Fees
Certain plans may include a one-time setup fee that covers account configuration, funnel building, automation setup, and onboarding. Setup fees are non-refundable once work has commenced. Setup fees are clearly disclosed before purchase.
3.3 Usage-Based Charges
Your subscription may include usage allowances for SMS messages, email sends, phone calls, and other metered services. Usage beyond your plan’s included allowances may be billed at per-unit rates disclosed in your account dashboard. You are responsible for monitoring your usage.
3.4 Price Changes
PerfectLeads reserves the right to change pricing for any plan. Price changes for existing customers will take effect at the start of the next billing cycle following at least 30 days’ written notice (via email). If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.
4. Billing and Payment
4.1 Billing Cycle
Subscriptions are billed monthly in advance on the anniversary of your subscription start date. Your billing cycle date is displayed in your account settings.
4.2 Payment Method
You must provide a valid payment method (credit card, debit card, or other accepted method) at the time of subscription. You authorize PerfectLeads to charge your payment method for all fees associated with your subscription, including recurring monthly fees, setup fees, and usage-based charges.
4.3 Failed Payments
If your payment method is declined, we will attempt to process the payment up to three (3) additional times over a 10-day period. If payment cannot be collected after these attempts, your account may be suspended until payment is resolved. We will notify you by email of any payment failures. Continued non-payment for 30 days may result in account termination.
4.4 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and other governmental assessments associated with your use of the Service, excluding taxes based on PerfectLeads’ net income. If we are required to collect taxes, they will be added to your invoice.
4.5 Invoices and Receipts
Invoices and payment receipts are available in your account dashboard and sent to your billing email address after each successful payment.
5. Free Trials
5.1 Trial Access
PerfectLeads may offer a free trial period for new customers. During the trial, you will have access to the features and functionality described at the time of enrollment. Trial duration and included features are disclosed at signup.
5.2 No Payment Required During Trial
No credit card is required to start a free trial unless otherwise stated at enrollment. You will not be charged during the trial period.
5.3 Trial Expiration
At the end of the trial period, your account will be transitioned to a free limited-access state unless you subscribe to a paid plan. Data created during the trial will be retained for 30 days after trial expiration, after which it may be deleted. We will notify you before your trial expires.
5.4 Trial Limitations
Free trials are limited to one per business entity. PerfectLeads reserves the right to terminate trials that we reasonably believe are being abused or used in bad faith.
6. Cancellation and Refunds
6.1 Cancellation by You
You may cancel your subscription at any time through your account settings. No phone call, email, or special procedure is required. Cancellation takes effect at the end of your current billing cycle — you retain access to the Service until then. There are no cancellation fees or penalties.
6.2 Data After Cancellation
After cancellation, your data (including contacts, funnels, automations, and CRM records) will be retained for 90 days to allow for reactivation or data export. You may request a full data export at any time before or during this retention period by emailing support@perfectleads.com. After 90 days, your data will be permanently deleted.
6.3 Refund Policy
Monthly subscription fees are generally non-refundable. However, if you experience a service issue that materially impacts your ability to use the platform, contact support@perfectleads.com and we will evaluate your request on a case-by-case basis. Setup fees are non-refundable once onboarding work has commenced. Usage-based charges (SMS, email, calling) are non-refundable as they represent third-party costs incurred on your behalf.
6.4 Downgrading
You may downgrade your subscription plan at any time. Downgrades take effect at the start of your next billing cycle. If your account exceeds the limits of your new plan (e.g., number of contacts or funnels), you may be required to reduce usage before the downgrade can take effect. Data will not be deleted automatically — we will notify you of any limits that need to be addressed.
7. Your Data and Content
7.1 Ownership of Your Data
You own your data. All content, contacts, leads, funnels, automations, templates, CRM records, and other data you create, upload, or collect through the Service (“Your Data”) remains your property. PerfectLeads does not claim ownership of Your Data.
7.2 License to PerfectLeads
By using the Service, you grant PerfectLeads a limited, non-exclusive, worldwide license to access, store, process, display, and transmit Your Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete Your Data or close your account (subject to backup and retention periods described in Section 6.2).
7.3 Aggregated and Anonymous Data
PerfectLeads may create aggregated, de-identified, or anonymized data derived from your use of the Service (“Aggregated Data”). Aggregated Data does not identify you or any individual, and PerfectLeads may use Aggregated Data for any lawful purpose, including product improvement, benchmarking, and industry research.
7.4 Data Portability
You may export Your Data from the platform at any time using the export tools available in your account dashboard. If you require assistance with data export, contact support@perfectleads.com. Exported data will be provided in standard formats (CSV, JSON) within a reasonable timeframe.
7.5 Backups
PerfectLeads maintains regular backups of platform data for disaster recovery purposes. However, backups are not a substitute for your own data management practices. We recommend that you maintain your own copies of critical data.
7.6 End User Data Responsibility
You are solely responsible for the personal data you collect from your leads and customers through the Service (“End User Data”). You represent and warrant that your collection, storage, and use of End User Data complies with all applicable privacy laws and regulations, including obtaining any necessary consents. PerfectLeads processes End User Data on your behalf as a data processor, as described in our Privacy Policy.
8. Intellectual Property
8.1 PerfectLeads IP
The Service, including all software, code, design, text, graphics, logos, icons, images, templates, workflows, and documentation (collectively, “PerfectLeads IP”), is owned by PerfectLeads or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights in PerfectLeads IP.
8.2 License to Use the Service
Subject to these Terms and payment of applicable fees, PerfectLeads grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period for your internal business purposes.
8.3 Pre-Built Templates and Content
PerfectLeads provides pre-built funnel templates, email/SMS sequences, scripts, and other content (“Templates”) as part of the Service. You are granted a license to use, customize, and deploy Templates within the PerfectLeads platform for your business. You may not resell, distribute, or sublicense Templates as standalone products outside the Service.
8.4 Custom Content You Create
Funnels, automations, email/SMS content, and other assets you create from scratch within the Service are owned by you and may be exported upon cancellation. To the extent your custom content incorporates PerfectLeads Templates or proprietary elements, you retain ownership of your modifications and original content.
8.5 Feedback
If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you grant PerfectLeads a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the Service without obligation or compensation to you.
8.6 Trademarks
“PerfectLeads” and our logo are trademarks of PerfectLeads, Inc. You may not use our trademarks without our prior written consent, except as necessary to accurately describe your use of the Service (e.g., “Powered by PerfectLeads” where required by your plan).
9. Acceptable Use Policy
You agree to use the Service responsibly and in compliance with all applicable laws. You may not use the Service to:
9.1 Prohibited Activities
Spam or Unsolicited Communications: Send unsolicited bulk messages (spam), including SMS, email, or voice messages, to individuals who have not provided prior express consent. You must comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable anti-spam and telemarketing laws.
Deceptive or Misleading Practices: Create funnels, landing pages, ads, or communications that contain false, misleading, or deceptive claims about your business, products, services, pricing, or results.
Illegal Activities: Promote, facilitate, or engage in any activity that violates applicable local, state, federal, or international law.
Harmful Content: Upload, transmit, or distribute content that is defamatory, obscene, threatening, harassing, or that promotes violence, discrimination, or hatred.
Intellectual Property Infringement: Use the Service in a manner that infringes on the intellectual property rights of any third party, including copyrights, trademarks, and patents.
Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any component thereof.
Excessive or Abusive Use: Use the Service in a manner that places an unreasonable burden on our infrastructure, including automated scraping, excessive API calls beyond documented limits, or denial-of-service activities.
Reselling Without Authorization: Resell, sublicense, or offer the Service to third parties as your own product without a written white-label or reseller agreement with PerfectLeads.
9.2 Enforcement
PerfectLeads reserves the right to investigate and take appropriate action against any violations of this Acceptable Use Policy, including warning the account holder, suspending access, terminating the account, removing content, and/or reporting violations to law enforcement. We may suspend first and investigate later if we reasonably believe immediate action is necessary to protect our platform, users, or third parties.
10. Third-Party Integrations and Services
10.1 Integrations
The Service may integrate with or allow connections to third-party platforms and services, including but not limited to: Facebook (Meta), Google Ads, Google My Business, Stripe, Twilio, Mailgun, Zapier, QuickBooks, and various calendar applications. Your use of third-party services is governed by their respective terms of service and privacy policies. PerfectLeads is not responsible for the availability, accuracy, or practices of third-party services.
10.2 API Credentials
When you connect third-party accounts to PerfectLeads, you may provide API credentials, access tokens, or authorization permissions. You are responsible for ensuring that you have the right to grant such access and that the connection complies with the third party’s terms. PerfectLeads stores API credentials securely and uses them only to provide the integrations you have enabled.
10.3 Disruptions
Third-party services may experience outages, changes, or discontinuations that affect the functionality of PerfectLeads integrations. PerfectLeads is not liable for service disruptions caused by third-party platforms.
11. Advertising Services (Ads Managed Plan)
11.1 Scope of Service
On the Ads Managed plan, PerfectLeads provides advertising campaign management services, which may include ad creative development, audience targeting, campaign setup, optimization, budget allocation recommendations, and performance reporting for platforms such as Facebook Ads and Google Ads.
11.2 Ad Spend
Advertising spend (“ad spend”) is separate from your PerfectLeads subscription fee and is paid directly to the advertising platform (Facebook, Google, etc.). PerfectLeads does not collect or hold your ad spend. You are responsible for setting and funding your ad account. PerfectLeads will manage your campaigns within the budget you authorize.
11.3 No Performance Guarantees
While PerfectLeads uses industry best practices to optimize your campaigns, we do not guarantee specific results, including lead volume, cost per lead, conversion rates, or return on ad spend. Advertising performance is influenced by factors beyond our control, including market conditions, competition, seasonality, ad platform algorithms, and the quality of your offer and service.
11.4 Ad Account Ownership
Your advertising accounts (Facebook Business Manager, Google Ads) remain your property at all times. If you cancel the Ads Managed plan, you retain full ownership and access to your ad accounts, campaign data, audiences, and creative assets created during the engagement.
11.5 Ad Content Approval
PerfectLeads will provide ad creative for your review and approval before publishing. You are ultimately responsible for ensuring that your ads comply with all applicable laws, regulations, and advertising platform policies. PerfectLeads is not liable for ad disapprovals, account restrictions, or policy violations resulting from content you have approved.
12. SMS and Communication Compliance
12.1 Your Compliance Obligations
The PerfectLeads platform enables you to send SMS text messages, emails, and other communications to your leads and customers. You are solely responsible for ensuring that all communications sent through the Service comply with applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state-level telemarketing laws, and any other applicable regulations.
12.2 Consent Requirements
You must obtain prior express written consent before sending marketing text messages to any individual via the Service. You must maintain records of consent. PerfectLeads provides tools to capture and document consent (e.g., funnel opt-in forms with disclosure language), but you are responsible for ensuring consent is properly obtained and documented.
12.3 Opt-Out Compliance
All SMS and email communications sent through the Service must include a clear and easy mechanism for recipients to opt out (e.g., “Reply STOP to unsubscribe”). You must honor opt-out requests promptly. PerfectLeads automatically processes STOP requests for SMS communications and adds opt-out recipients to your suppression list.
12.4 Prohibited SMS Content
You may not use the Service to send SMS messages that contain illegal content, promote illegal activities, are deceptive or misleading, violate carrier policies, or target individuals under the age of 13. PerfectLeads reserves the right to suspend SMS capabilities for accounts that violate these requirements.
12.5 Carrier Compliance
SMS delivery is subject to mobile carrier filtering, 10DLC (10-Digit Long Code) registration requirements, and carrier-level compliance standards. PerfectLeads assists with 10DLC registration but cannot guarantee approval by carriers. You are responsible for providing accurate business information for registration purposes.
13. Disclaimers and No Guarantees
13.1 “As Is” and “As Available”
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
13.2 No Guarantee of Results
PerfectLeads does not guarantee any specific results from your use of the Service, including lead volume, lead quality, conversion rates, revenue, return on investment, or business growth. Results depend on numerous factors beyond our control, including your industry, market, offer, pricing, ad spend, follow-up speed, sales skills, and market conditions. Testimonials, case studies, and projections on our website represent individual results and are not guarantees of what you will achieve.
13.3 Service Availability
While we strive for maximum uptime, PerfectLeads does not guarantee that the Service will be available at all times or will be uninterrupted, error-free, or secure. We may perform scheduled maintenance with reasonable advance notice. Unplanned outages may occur due to factors including infrastructure issues, third-party dependencies, or force majeure events.
13.4 Third-Party Services
PerfectLeads is not responsible for the performance, availability, or accuracy of third-party services, including Facebook, Google, Twilio, Stripe, or any other integrated platform. Changes to third-party APIs, policies, or services may affect PerfectLeads functionality.
14. Limitation of Liability
14.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF PERFECTLEADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO PERFECTLEADS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14.2 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERFECTLEADS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PERFECTLEADS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.3 Basis of the Bargain
The limitations of liability in this Section reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between you and PerfectLeads. PerfectLeads would not provide the Service without these limitations.
14.4 Jurisdictional Variations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless PerfectLeads and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) Your use of the Service, including any content you create or data you collect through the platform. (b) Your violation of these Terms or any applicable law or regulation. (c) Your violation of any third party’s rights, including privacy rights, intellectual property rights, or contractual rights. (d) Any communications (SMS, email, phone) you send through the Service, including claims arising from TCPA, CAN-SPAM, or other communication law violations. (e) Your advertising content and campaigns, including claims related to false advertising, misleading claims, or regulatory violations.
16. Dispute Resolution and Arbitration
16.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@perfectleads.com to attempt to resolve the dispute informally. We will attempt to resolve the matter within 30 days.
16.2 Binding Arbitration
If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the state of Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.3 Class Action Waiver
YOU AND PERFECTLEADS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against PerfectLeads.
16.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Claims within the jurisdiction of small claims court may also be brought there.
16.5 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending a written notice to legal@perfectleads.com within 30 days of first accepting these Terms. The notice must include your name, account information, and a clear statement that you wish to opt out of the arbitration provisions.
17. Termination
17.1 Termination by You
You may terminate your account at any time by canceling your subscription through your account settings or by contacting support@perfectleads.com. Cancellation and data retention are governed by Section 6.
17.2 Termination by PerfectLeads
PerfectLeads may suspend or terminate your account immediately, without prior notice, if: (a) you materially breach these Terms, (b) you violate the Acceptable Use Policy, (c) your use poses a security risk to the platform or other users, (d) your account is used for illegal activity, or (e) your account remains unpaid for 30 or more days. We will make reasonable efforts to notify you of suspension or termination and provide an opportunity to cure, except where immediate action is necessary.
17.3 Effect of Termination
Upon termination, your right to access and use the Service immediately ceases. Sections of these Terms that by their nature should survive termination shall survive, including Sections 7 (Your Data), 8 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution), and 19 (General Provisions).
18. Modifications to the Service and Terms
18.1 Modifications to the Service
PerfectLeads reserves the right to modify, update, or discontinue any aspect of the Service at any time. We will provide reasonable advance notice of material changes that negatively affect your use of the Service. Continued use of the Service after changes take effect constitutes your acceptance of the modified Service.
18.2 Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will: update the “Last Updated” date at the top of this page, notify active customers by email at least 30 days before the changes take effect, and provide prominent notice on our website for significant changes. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.
19. General Provisions
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Entire Agreement: These Terms, together with the Privacy Policy and any order forms or service agreements you have executed with PerfectLeads, constitute the entire agreement between you and PerfectLeads regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: The failure of PerfectLeads to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of PerfectLeads.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. PerfectLeads may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of assets.
Force Majeure: PerfectLeads shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, acts of government, pandemic, war, terrorism, labor disputes, infrastructure failures, or third-party service outages.
Notices: We may provide notices to you via email to the address associated with your account, through in-app notifications, or by posting on our website. You may provide notices to us by email to legal@perfectleads.com.
Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
Independent Contractors: The relationship between you and PerfectLeads is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
